
TERMS OF USE -- tdb.vip (THE "APP")
The site located at tdb.vip (the "App") is operated by Texas de Brazil Corporation, a Texas corporation ("TdB"). The App serves as the official platform for the Texas de Brazil VIP Loyalty Program (the "Program"), which is administered through Paytronix Systems. Authorized users may create an account to check in at participating restaurant locations, earn Qualified Visits, unlock rewards, store gift cards or coupons, and access other program features. Without an account, the App functions solely as a landing page and no features are available.
BY USING THIS APP IN ANY WAY, YOU AGREE TO THESE TERMS OF USE WITHOUT MODIFICATION. IF YOU DO NOT AGREE, DO NOT USE THE APP.
1. AGREEMENT FOR USE
You warrant that you are at least 18 years of age and possess the legal authority to enter into this Agreement. You agree that all information submitted during account creation—including your name, email address, mobile phone number, ZIP code, birthday, and preferred location—is accurate and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
TdB may investigate any alleged misuse of violation of these terms and deny access to the App or the Program to any individual or entity at any time and for any reason, including but not limited to suspected fraud, account misuse, or alleged violation of these Terms.
You agree that your sole purpose in enrolling in the Program or participating in the Program is to dine at Texas de Brazil branded restaurants and for no other purpose.
2. ELIGIBILITY
The Program is intended only for individuals 18 years of age or older. TdB does not knowingly collect personal information from anyone under 18. Accounts associated with users under 18 may be deleted, and such accounts cannot be restored.
The Program and its visit-based rewards are available at participating Texas de Brazil restaurant locations within the United States. International Locations, which are all locations outside of the "lower 48" United States, may offer a separate communications program with different benefits, eligibility, and terms. Participation at International Locations does not qualify for Qualified Visits or rewards under this Program unless otherwise stated.
2A. EMPLOYEE ELIGIBILITY AND MISUSE
Current employees of Texas de Brazil are not eligible to participate in the Program unless expressly authorized in writing by TdB.
Any attempt by an employee to participate in the Program, earn rewards, redeem offers, or otherwise access Program benefits without authorization may result in:
3. ACCOUNT CREATION & REQUIRED INFORMATION
To access Program features, you must create an account and provide required information. The Program uses loyalty tiers to determine a user's ability to earn Qualified Visits, unlock rewards, and redeem offers.
Required Account Information
When creating or completing an account, you must provide accurate and complete information, which may include:
Your email address is the core identifier for your account. All account ownership, recovery, and verification processes are tied to your email address. Your mobile phone number is supplementary and is used primarily to identify you in-store and to log in to the App. Phone numbers may be changed (see below), but your email address remains the permanent basis of your account.
Each email address and mobile phone number may only be associated with one account. If your email address or phone number is already linked to an existing account, you will need to recover that account rather than create a new one. TdB and Paytronix enforce uniqueness of these identifiers to maintain Program integrity and prevent duplicate accounts.
You authorize TdB and Paytronix to store and process this information for Program administration, identity verification, check-in tracking, reward delivery, account support, and fraud prevention.
Your mobile phone number is used solely for login verification and identity confirmation and is not used for marketing purposes.
Upon account creation, a virtual loyalty card number will be assigned to your account. This card number is used internally for Program administration and may be referenced during check-in, reward redemption, and account support. You may also generate a temporary short code through the App to provide to restaurant staff in lieu of your full card number (see Section 5 for details).
3A. ACCOUNT STATUS, AUTHENTICATION, AND PROGRAM ACCESS
The Program includes different loyalty tiers that determine a user's level of access to Program features. A user's tier is based on how they join the Program and whether required authentication steps have been completed.
Unauthenticated Tier
Users may join the Program through certain acquisition channels outside of the App, including but not limited to the Texas de Brazil website or third-party integrations such as reservation platforms. Users who join through these methods may initially be placed in an unauthenticated tier.
Users in the unauthenticated tier:
Users in this tier will receive instructions on how to complete authentication to unlock full Program access.
Migrated Tier
Members who were enrolled in a prior Texas de Brazil loyalty or eClub program may be migrated to the Program and placed in a migrated tier. Members in the migrated tier:
All rewards and offers under the Program — including visit-based rewards, birthday offers, and anniversary offers — are available only to members in the authenticated loyalty tier. Previous loyalty data, including visit history from the prior platform, does not carry over to the new Program. Migrated members who authenticate and move to the loyalty tier will begin the visit-based rewards cycle from zero Qualified Visits.
Authenticated Loyalty Tier
To move to the authenticated loyalty tier, a user must log in to the App and complete the required account setup, including providing all required information listed in Section 3 and verifying a mobile phone number.
Once this process is completed, the user is placed in the authenticated loyalty tier and is eligible to:
Users who join the Program directly through the App typically complete this process during initial registration and may not experience an unauthenticated tier period.
Dormant Accounts
TdB in its sole and absolute discretion may reclassify inactive accounts to a dormant status. Members in a dormant status will not receive Program communications or earn rewards until they reactivate their account by logging into the App and completing any required verification steps.
Phone Number Verification and Updates
A verified mobile phone number is required to maintain access to the authenticated loyalty tier. You may change your phone number through the App by initiating the change phone number process. This process requires you to re-verify your email address. Once your email is verified, you may set a new phone number, which must also be verified before it becomes active on your account.

TdB reserves the right to modify tier requirements, authentication methods, and access controls at any time to protect Program integrity, prevent misuse, and improve the user experience in any way, at any time, in TdB's sole and absolute discretion.
4. MARKETING COMMUNICATIONS & PREFERENCES
By creating an account, you consent to receive marketing communications from TdB, including Program updates, offers, and promotions. You may unsubscribe at any time through the App or by clicking the unsubscribe link at the bottom of any of our email communications. You may also contact us directly for assistance by submitting a form at https://texasdebrazil.com/contact or emailing customerrelations@texasdebrazil.com.
Unsubscribing affects marketing messages only. You may continue to use Program features even if unsubscribed.
Certain Program-related messages, such as account confirmations, reward issuance notifications, and reward expiration reminders, are transactional in nature and may be sent regardless of your marketing communication preferences. These messages are necessary for Program administration and do not constitute marketing communications.
The App may display a prompt encouraging you to re-subscribe if you have opted out.
5. QUALIFIED VISITS AND CHECK-IN REQUIREMENTS
The Program is based on tracking Qualified Visits ("QVs"). You are required to check in for each visit in order to earn Qualified Visits toward your next reward, even if you are not redeeming an offer.
A Qualified Visit is earned when your dining check subtotal, after any applied discounts, exceeds $50 (before tax, fees, and tip) and your visit is associated with your loyalty account through one of the following methods:
Check-In at the Restaurant (Preferred Method)
The preferred and most reliable way to earn a Qualified Visit is to check in at the restaurant during your visit through the point of sale with the assistance of your staff member. Check-in is how the restaurant associates your dining check with your loyalty account.
To identify yourself to your staff member for check-in, you may use any of the following methods:
Once your staff member checks you in at the point of sale, your dining check is linked to your loyalty account. If your check meets the minimum spend requirement, a Qualified Visit is earned.
You may earn a maximum of one (1) Qualified Visit per business date. A minimum of twelve (12) hours must elapse between check-ins.
Offer Redemption and Automatic Check-In
When you redeem a reward or offer, your staff member must look up your loyalty account at the point of sale in order to apply the offer. This account lookup automatically checks you in for that visit. As a result, redeeming an offer also counts as a check-in, and you do not need to check in separately for that visit.
Receipt-Based Visit Submission (Forgot to Check In)
If you did not check in at the restaurant during your visit, you may submit your visit for credit after the fact through the App. When you select the check-in option in the App, you will be given the choice between "I'm at the restaurant" or "I have a receipt." The receipt option allows you to submit a closed, paid check by providing the restaurant location, date of visit, and receipt number.
Receipt-based submissions are subject to the following rules:
Receipt-based submission is provided as a convenience for visits where in-restaurant check-in was not completed. Checking in at the restaurant with your staff member remains the preferred and most reliable method for earning Qualified Visits.

TdB may decline or reverse Qualified Visits in cases of error, fraud, or misuse.
5A. ANNUAL REWARDS CYCLE
The Program operates on a rolling annual rewards cycle. Qualified Visits are tracked within a period that resets on a yearly basis. Upon reset, your Qualified Visit count returns to zero (0) and you begin earning toward rewards again.
The following visit-based rewards are available to authenticated loyalty tier members within each annual cycle:

All members earn the same rewards regardless of when they join or how long they have been in the Program. There is no separate first-year or returning-member reward structure.
Rewards are issued automatically upon reaching the applicable milestone. Visit-based rewards expire sixty (60) days from the date of issuance. Birthday and anniversary offers expire forty-five (45) days from the date of issuance, as stated in Section 5B. Expired rewards cannot be reinstated or extended.
Reward Availability on Qualifying Check
A reward that is unlocked by a Qualified Visit cannot be redeemed on the same check that earned the Qualified Visit which triggered that reward. The check that qualifies a member for a new reward is not eligible to have that newly unlocked reward applied to it. The reward may be redeemed on any subsequent eligible visit, subject to all applicable restrictions, expiration dates, and blackout periods. Previously earned rewards that are still valid may be redeemed on any eligible check — this restriction applies only to the specific reward that was just unlocked by the qualifying transaction.
The rewards cycle runs once per year. Each visit-based reward may be earned only once per annual rewards cycle. You are welcome to continue checking in and earning Qualified Visits beyond the 5th, but no additional rewards will be issued until your cycle resets. Rewards do not stack or carry over to subsequent cycles. Unredeemed rewards expire according to their stated expiration date regardless of cycle reset.
TdB reserves the right to modify reward milestones, reward values, expiration periods, and cycle reset dates at any time.
5B. BIRTHDAY AND ANNIVERSARY OFFERS
Members in the authenticated loyalty tier may be eligible to receive offers in connection with their birthday and/or anniversary date, provided this information has been submitted and is on file. Members in the unauthenticated or migrated tiers are not eligible to receive or redeem birthday or anniversary offers until they complete authentication and move to the authenticated loyalty tier.
Birthday Offer: Eligible members may receive 25% off dinner or lunch. The offer is issued during the member's birthday month and expires forty-five (45) days from issuance.
Anniversary Offer: Eligible members may receive a complimentary dessert. The offer is issued during the member's anniversary month and expires forty-five (45) days from issuance.
Birthday and anniversary offers are subject to availability and may not be combined with other offers, promotions, or loyalty rewards on the same reservation/check. Birthday and anniversary offers may be redeemed on Saturdays but are not valid on restaurant holidays: New Year's Day, Valentine's Day, Easter Sunday, Mother's Day, Father's Day, Thanksgiving, Christmas Eve, Christmas Day, and New Year's Eve. TdB reserves the right to modify or discontinue birthday and anniversary offers at any time.
6. REWARDS, OFFERS, AND LIMITATIONS
Rewards are issued based on Qualified Visits and are subject to the terms associated with each offer, including expiration dates, redemption rules, and location availability.
Offer Restrictions:
TdB may send reminder notifications prior to the expiration of issued rewards. However, failure to receive or read a reminder does not extend the expiration date of any reward. It is your responsibility to track reward expiration dates within the App.
TdB reserves the right to change, modify, or cancel any offer or reward at any time.
6A. AD-HOC AND PROMOTIONAL REWARDS
From time to time, TdB may issue promotional rewards, bonus offers, or reward dollars to selected members at its sole discretion. These offers may vary in value, eligibility, expiration, and availability. Ad-hoc rewards are subject to the same general restrictions as other Program rewards, including the one-offer-per-check limitation. TdB is under no obligation to issue ad-hoc rewards to any member and may discontinue such offers at any time.

Account deletion is permanent and cannot be undone. Upon deletion:
Re-Registration After Deletion
If you delete your account, you may not create a new account using the same email address for thirty (30) days. If you delete your account a second time, you will be permanently unable to create a new account with that email address and must contact support for further assistance.
TdB may also remove access to accounts at its discretion for any reason, including fraud, abuse, or violation of these Terms.
9. PROHIBITED CONDUCT
You agree not to:

10. INTELLECTUAL PROPERTY RIGHTS
All content, trademarks, graphics, software, and materials on the App are owned by TDB or its licensors. Use is permitted only for personal, non-commercial purposes. No rights are granted beyond those expressly stated.
11. PRIVACY
Your use of the App is subject to the Texas de Brazil Privacy Policy, available at: https://privacy.texasdebrazil.com
By using the App, you consent to the practices described therein.
12. SECURITY
You are responsible for maintaining the confidentiality of your login credentials. TDB is not liable for unauthorized access resulting from your failure to secure your account.
13. DISCLAIMER OF WARRANTIES
THE APP IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ACCURACY. TDB DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
13A. WEB ACCESSIBILITY
TdB is committed to ensuring that the App is accessible to all users, including individuals with disabilities. We strive to make the App usable in accordance with generally recognized accessibility standards and to continually improve the user experience for everyone.

14. LIMITATION OF LIABILITY
TDB SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. THE MAXIMUM AMOUNT OF DAMAGES THAT TDB IS REQUIRED TO PAY TO ANY USER FOR ANY AND ALL LIABILITY THAT MAY BE FOUND HEREUNDER IS $25 WHICH IS THE AGREED AMOUNT OF DAMAGES THAT YOU MAY HAVE SUFFERED IN THE EVENT THAT TDB IS FOUND LIABLE FOR A VIOLATION OF THIS AGREEMENT. TDB WOULD NOT OFFER THE PROGRAM BUT FOR THE LIMITATIONS AGREED TO HEREUNDER.
15. TERMINATION AND ACCESS RESTRICTION
TDB may suspend, restrict, or terminate your access to the App at any time, without notice, for any reason. Provisions relating to intellectual property, disclaimers, limitations of liability, and arbitration survive termination.
16. MODIFICATIONS TO TERMS
TDB may revise these Terms at any time by posting updates within the App. Your continued use constitutes acceptance of updated Terms.
17. ARBITRATION AND CLASS ACTION WAIVER
Any dispute arising from or relating to the App or Program or the use of the website or in dining in any Texas de Brazil branded restaurant shall be resolved through binding arbitration administered by JAMS in Dallas, Texas, under the JAMS Consumer Arbitration Rules.
YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR CLASS-WIDE PROCEEDING FOR ANY ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT.
THE PARTIES WAIVE THE RIGHT TO TRIAL BY JURY FOR ANY ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT.
18. GOVERNING LAW
This Agreement is governed by the laws of the State of Florida, excluding its conflict-of-law rules.
